Terms

1.利用者は、本コンテンツを視聴、ダウンロード、または何らかの形で利用した時点で、本規約のすべての内容に同意したものとみなされます。

2.本規約は、当方の公式ホームページ上に公開されており、当方が運営する各種SNSおよびYouTube等のプラットフォームからは本規約へのリンク（URL）が明示されていることで、利用者はこれをいつでも確認できる状態にあるものとします。

1.当方の事前の書面（電子メール、SNSのダイレクトメッセージ等の電磁的記録を含みます。以下同じ）による許諾なく、本コンテンツの全部または一部を複製、転載、公衆送信、アップロード、再配布する行為（各種SNS、動画共有プラットフォーム、ブログ等への無断アップロード、いわゆる「無断転載」を含みます）。なお、当方のクレジット（チャンネル名、名称、URL等）を明記しているか否かを問わず、また、その意図、目的、および善意・悪意の有無を問わず、事前の許諾なき行為は一切禁止されます。

2.当方の事前の書面による許諾なく、本コンテンツの改変、翻案、編集、または切り抜き等を行う行為。なお、当方のクレジット（チャンネル名、名称、URL等）を明記しているか否かを問わず、また、その意図、目的、および善意・悪意の有無を問わず、事前の許諾なき行為は一切禁止されます。

3.その他、当方または正当な権利者の著作権、知的財産権を侵害する一切の行為。

1.プラットフォーム（YouTube等）において、当方が公式に公開している本コンテンツを対象として、当該プラットフォームが公式に提供している「共有」または「埋め込み」機能を用いて拡散・紹介する行為。

2.著作権法第32条に定める「引用」の要件を完全に満たした、正当な範囲内での利用。

1.利用者が第3条（禁止事項）に違反して本コンテンツを無断転載した場合、当方は当該利用者に対し、事前の通告なく、プラットフォームへの削除申し立て（著作権侵害の通報）、裁判所に対する仮処分申請その他の法的手続き、およびその他当方が適切と判断する一切の削除・差止措置を行います。なお、これらの措置により、プラットフォーム側の規約やペナルティシステム（いわゆる「著作権ストライク」等）に基づき、利用者のアカウントが凍結・削除される場合があります。

2.前項の場合、利用者は当方に対し、契約違反に基づく違約金（損害賠償額の予定）として、転載動画1本あたり一律500米ドル、あるいは転載先のプラットフォームで発生した総再生回数1回あたり0.003米ドルを乗じた金額の、いずれか高い方の金額を直ちに支払うものとします。

3.当方がプラットフォームに対して行った削除申し立てについて、利用者が「申し立ての撤回」を求める場合、利用者は当方が指定する違約金、および履行担保金（デポジット）として別途1,000米ドルを先に入金するものとします。利用者の手によって対象動画が完全に削除されたことを当方が確認できた場合に限り、履行担保金は返金されます。なお、撤回後、利用者が当該動画の削除を怠った場合、履行担保金は全額没収されるものとし、当方は当該利用者に対してさらなる法的措置（民事上および刑事上の手続きを含みますが、これらに限られません）を講じる場合があります。

1.本規約の解釈および適用にあたっては、日本法を準拠法とします。

2.本コンテンツの利用または本規約に関して生じた一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

1.Unauthorized reproduction, public transmission, uploading, or redistribution of all or part of the Content on any social media platforms, video-sharing platforms, blogs, etc., without the prior written consent of the Creator (including electronic mail, direct messages on social media platforms, and other electronic records; the same shall apply hereinafter). Such actions are strictly prohibited without the prior written consent of the Creator, regardless of whether the User includes the Creator’s credit (such as the channel name, name, or URL), and regardless of the intention, purpose, or whether it is in good or bad faith.

2.Modifying, adapting, editing, or creating clipped videos, or any other alterations of the Content without the prior written consent of the Creator. Such actions are strictly prohibited without the prior written consent of the Creator, regardless of whether the User includes the Creator’s credit (such as the channel name, name, or URL), and regardless of the intention, purpose, or whether it is in good or bad faith.

3.Any other actions that infringe upon the copyrights or intellectual property rights of the Creator or the legitimate right holders.

1.Sharing or introducing the Content using official "Share" or "Embed" functions provided by the platform (such as YouTube), provided that such use targets the Content officially published by the Creator.

2.Use within a legitimate scope that fully satisfies the requirements for "Quotation" under Article 32 of the Copyright Act of Japan.

1.In the event of unauthorized re-uploading or redistribution in violation of Section 3 (Prohibited Actions), the Creator will, without prior notice, file a copyright infringement claim with the platform, apply for a provisional disposition (injunction) with the court, take any other legal proceedings, or implement any and all other measures for deletion or injunction that the Creator deems appropriate. Please note that such actions may result in the suspension or termination of the User's account in accordance with the platform's terms of service and penalty systems (such as "Copyright Strikes").

2.In the case of the preceding paragraph, the User shall immediately pay a penalty (liquidated damages) for breach of contract to the Creator, which shall be either a flat rate of 500 USD per unauthorized video, or an amount calculated by multiplying 0.003 USD per view on the platform where it was re-uploaded, whichever is higher.

3.If the User requests the withdrawal of a copyright infringement claim filed by the Creator, the User must first pay the penalty designated by the Creator, plus a security deposit of 1,000 USD to ensure compliance. The security deposit will be refunded only after the Creator confirms that the video has been completely deleted by the User. If the User fails to delete the video after the claim is withdrawn, the security deposit shall be forfeited in full, and the Creator reserves the right to take further legal action (including, but not limited to, civil and criminal proceedings) against the User.

1.These Terms shall be governed by and construed in accordance with the laws of Japan.

2.Any and all disputes arising out of or in connection with the use of the Content or these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
